2. Purpose

These Terms and Conditions define the terms under which LDV MULTIMEDIA (hereinafter "the Seller") offers its clients (hereinafter "the Client") the creation of bespoke personalised songs.

The service consists of creating, writing, composing and producing a unique personalised song based on the Client's story, anecdotes and musical preferences.

3. Order and acceptance

Any order implies unreserved acceptance of these Terms and Conditions. The Client acknowledges having read the Terms and Conditions before placing an order.

An order is confirmed after:

• Receipt of the completed contact form
• Submission of textual content (anecdotes, story, preferences) by the Client
• Payment of the order

Important: The creative process begins as soon as the textual content is sent and payment is made. From that point on, no refund can be issued.

4. Price and payment terms

Prices for services offered by LDV MULTIMEDIA are shown in euros and are those in effect at the time of the order.

Invoices are issued under the VAT exemption scheme, in accordance with Article 293 B of the French General Tax Code.

Payment is made by bank transfer or any other method agreed between the parties. Full payment must be made before the creative process begins.

No work will be undertaken before full payment is received.

5. Creation process

The creation process includes the following steps:

1. Information gathering: The Client provides the necessary elements (anecdotes, story, musical preferences)
2. Lyrics writing: Creation of personalised lyrics by our author
3. Music production: Creation of the music with the help of AI
4. Approval: The Client receives a preview and may request up to 3 adjustments
5. Delivery: Delivery of the final song in high quality (MP3, WAV) with lyric files

The completion timeframe is communicated to the Client when the order is placed and may vary depending on the complexity of the project.

6. Right of withdrawal and refunds

In accordance with Article L221-28 of the French Consumer Code, the right of withdrawal does not apply to services whose performance has begun with the consumer's express agreement before the end of the withdrawal period.

Consequently: Once the creative process has begun (i.e. after the textual content is sent and payment is made), no refund can be issued, even if the Client cancels the order.

If cancellation occurs before the creative process begins, a refund may be considered according to terms agreed between the parties.

7. Intellectual property

7.1. Seller's rights

The musical creation (lyrics and music) remains the intellectual property of LDV MULTIMEDIA. The Client acquires a personal, non-exclusive right to use the song created.

7.2. Assignment of rights

The Client receives the right to use the song for personal, family use or within the context of the event for which it was commissioned. The Client may share the song privately or at the relevant event.

7.3. Prohibition of resale

The Client may under no circumstances resell, assign or transfer the musical creation to a third party for commercial or non-commercial purposes. Any commercial use requires prior written agreement from LDV MULTIMEDIA.

8. Orders placed by event managers

When an order is placed by an event manager, organiser or any person acting on behalf of a third party:

• The event manager is considered the contractual Client
• They assume full responsibility for sharing and use of the song created
• They agree to comply with the terms of use set out in these Terms and Conditions
• They guarantee that sharing will take place only within the context of the event for which the song was commissioned

The event manager is liable to LDV MULTIMEDIA for any non-compliant use of the creation.

9. Adjustments and revisions

The Client is entitled to 3 free adjustments after receiving the song preview. These adjustments relate to:

• Lyrics (corrections, additions, changes)
• Musical style (minor adjustments)
• Production (levels, mixing)

Beyond 3 adjustments, additional fees may be charged depending on the complexity of the requested changes.

10. Delivery

Delivery is made by electronic transfer (email) of the following files:

• High-quality audio file (MP3 and/or WAV format)
• Lyrics file (PDF or text format)

The Client is responsible for keeping the delivered files. LDV MULTIMEDIA does not guarantee storage of files beyond 6 months after delivery.

11. Liability

LDV MULTIMEDIA undertakes to provide a professional-quality service. However:

• The Seller cannot be held liable for delays due to force majeure
• The Seller does not guarantee that the song created will exactly match the Client's subjective expectations
• The Client is responsible for the accuracy and quality of the information provided

12. Personal data

Personal data collected in connection with an order is processed in accordance with our Privacy policy. The Client has the right to access, rectify and delete their data.

13. Disputes and mediation

In the event of a dispute, the parties agree to seek an amicable solution before taking legal action.

In accordance with Articles L.611-1 and R.612-1 et seq. of the French Consumer Code, the Client has the right to use a consumer mediator free of charge to resolve the dispute with the Seller amicably.

14. Applicable law and jurisdiction

These Terms and Conditions are governed by French law. Any dispute relating to their interpretation and/or performance falls within the jurisdiction of the competent French courts.

15. Acceptance of the Terms and Conditions

Acceptance of these Terms and Conditions is confirmed by order validation and payment. The Client acknowledges having read the Terms and Conditions and accepts them without reservation.
